Terms of Service

These Terms of Service (“Terms”) govern your access to and use of Spayo (the “Service”), provided and operated by Krasen Markov, Feldweg 8, 8574 Lengwil, Switzerland (“we”, “us”, “our” or “Spayo”).

By creating an account, accessing the platform, or using any part of the Service, you agree to these Terms.
If you do not agree, you must not use Spayo.

1. About Spayo

Spayo is an AI-powered design tool that allows users to upload images and generate redesigned versions of rooms, cars, gardens, and other environments using artificial intelligence (“AI Outputs”). The Service is available at https://app.spayo.xyz.

Spayo is a project operated by a sole proprietor (Einzelfirma) based in Switzerland.

2. Eligibility

You may use the Service only if:

  • you are at least 16 years old (or the minimum legal age in your country); and
  • you have the legal capacity to enter a binding contract.

Users under 18 must have permission from a parent or legal guardian.

3. Account Registration

To use Spayo, you must create an account and provide accurate information.

You are responsible for:

  • maintaining the confidentiality of your login credentials
  • all activity that occurs under your account
  • immediately notifying us of any unauthorized use

We reserve the right to refuse registration or terminate accounts for violations of these Terms.

4. Token System

Spayo operates using a token-based payment model:

  • Each AI redesign costs 1 token.
  • Users may purchase token packs through Stripe.
  • Tokens do not expire and are linked to your account.
  • Tokens are non-refundable, except where required by law.

You receive:

  • 2 free tokens when you register
  • 2 tokens for each friend who registers using your personal referral link

Your friend also receives 2 free tokens as a new user.

5. Payment Terms

Payments are processed securely by Stripe or other payment methods available in your region.

By purchasing tokens, you agree to:

  • provide accurate billing information
  • authorize Stripe to charge your payment method
  • pay all applicable taxes or governmental fees

We do not store your payment details.

Fraudulent or unauthorized purchases may result in account suspension.

6. Image Uploads & AI Processing

By uploading an image, you confirm that:

  • you own the rights to the image or have permission to use it
  • the image does not contain prohibited content (see Section 13)
  • you grant us permission to process the image with third-party AI providers

6.1 Processing Flow

  • Uploaded images are temporarily stored to process your request.
  • Images are sent to Google Gemini API for transformation.
  • Google does not use your images to train its models when API requests are made under a paid plan.
  • Processed results (AI Outputs) are stored in Supabase in your personal gallery.
  • You may delete these at any time.

6.2 Storage

  • Original images are not permanently stored.
  • AI-generated results are stored until you delete them.

7. User Content Rights

You retain full ownership of the images you upload.

You grant us a non-exclusive, worldwide, royalty-free license to:

  • process your images through AI
  • generate AI outputs
  • store the resulting images in your gallery
  • use anonymized, non-personal data to improve platform performance

We do not claim ownership over your content.

8. AI Output Rights

The AI-generated results (“AI Outputs”) are licensed to you:

  • for personal use
  • for commercial use (unless prohibited by laws in your region or the rights of third parties)

Spayo does not guarantee:

  • exclusivity of AI Outputs
  • that AI Outputs will not resemble outputs generated for other users
  • that AI Outputs do not unintentionally replicate copyrighted content

You are solely responsible for how you use the AI Outputs.

9. Acceptable Use

You agree not to upload or generate:

  • illegal content
  • copyrighted material without permission
  • nudity or sexually explicit content
  • images of minors in compromising scenarios
  • violence, weapons, extremist content
  • personal data of others without consent
  • photographs of people you do not have rights to process

Violation may result in immediate account termination.

10. Service Availability

We strive to keep Spayo available at all times, but we do not guarantee:

  • uninterrupted service
  • error-free operation
  • storage beyond the limits of your gallery

We may modify or discontinue features at any time.

11. Referral Program

Users may invite others using a personal referral link found in their Profile page.

Rewards:

  • You receive 2 tokens for each new user who signs up using your link.
  • Your friend receives 2 free tokens as a new user.

We may modify or discontinue the referral program at any time.

12. Termination

We may suspend or terminate your account if:

  • you violate these Terms
  • your payment is fraudulent
  • your activity presents a security risk
  • you upload prohibited content

Upon termination:

  • unused tokens are forfeited (where allowed by law)
  • your gallery may be deleted
  • your license to access the platform ends

You may delete your account at any time.

13. Prohibited Activities

You agree not to:

  • bypass security systems
  • scrape or download large numbers of AI Outputs
  • resell tokens or accounts
  • misuse the referral program
  • use AI outputs for misinformation, defamation, harassment, deepfakes, or impersonation
  • reverse-engineer the Service

14. Disclaimer of Warranties

The Service is provided “as is” and “as available.”

We do not guarantee:

  • that AI results will meet your expectations
  • that AI-generated outputs will be accurate or error-free
  • that the Service will always be available
  • that AI Outputs will be usable for any specific commercial purpose

Your use of the Service is at your own risk.

15. Limitation of Liability

To the maximum extent permitted by law:

  • we are not liable for indirect, incidental, special, or consequential damages
  • our total liability shall not exceed the amount you paid for tokens in the last 12 months

This section does not limit liability where prohibited by law (e.g., Switzerland, EU consumer law).

16. Indemnification

You agree to indemnify and hold us harmless from any claims arising out of:

  • your misuse of the Service
  • your violation of these Terms
  • your infringement of third-party rights

17. Governing Law

These Terms are governed by:

  • Swiss law,
  • without regard to conflict-of-law principles.

Consumers in the EU, UK, or other regions retain mandatory protections under their local laws.

18. Dispute Resolution

Most disputes can be resolved informally.
If not, disputes will be resolved in the competent courts of Switzerland, unless local mandatory law grants you the right to litigate in your own country.

19. Modifications

We may update these Terms from time to time.
If changes are material, we will notify users by email or platform notice.

Continued use of Spayo after changes constitutes acceptance.
