End-User License Agreement

This End-User License Agreement (“Agreement”, “EULA”) is a legally binding contract between you (“User”, “You”) and Krasen Markov, operating as a sole proprietor in Switzerland under the project name Spayo (“Spayo”, “We”, “Us”, “Our”).

By creating an account, accessing, or using Spayo (including https://www.spayo.xyz and https://app.spayo.xyz), you confirm that you have read, understood, and agree to be bound by this EULA.
If you do not agree, you must not use Spayo.

1. Overview of the Service

Spayo provides an online AI-powered platform that allows users to upload images, apply transformation styles, and generate redesigned versions of those images using AI models (the “Service”). The Service is available through a token-based credit system.

Spayo includes:

User accounts
Image upload and processing
AI-generated redesigns
User gallery
Multi-language support
Affiliate referral system
Paid subscription/token packages
Web and mobile-friendly interfaces

Spayo may update the Service at any time, including adding, modifying, or removing features.

2. License Grant

Subject to your compliance with this Agreement, Spayo grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to:

Access and use the Service for your personal or commercial purposes
Upload images that you legally own
Generate and download AI-created images
Use the generated images without copyright restrictions (see Section 6)

You may not:

Reverse engineer, modify, or redistribute the platform code
Scrape or download data from the platform beyond what is explicitly allowed
Use Spayo to build a competing service

This license automatically terminates if you violate this Agreement.

3. User Eligibility

You must:

Be at least 18 years old (or the legal adult age in your jurisdiction)
Have legal capacity to enter into agreements
Use the Service only in compliance with applicable laws

If you are using Spayo on behalf of a business, you confirm you have the authority to bind that entity.

4. User Account Responsibilities

You agree to:

Provide accurate information during registration
Keep your login credentials confidential
Be responsible for all activity on your account
Notify us immediately of unauthorized use

We reserve the right to suspend or terminate accounts that violate policies, the law, or pose security risks.

5. Uploading Content (Your Images)

5.1 Your Warranties

By uploading images or content to Spayo, you confirm that:

You own the rights to the images or you have explicit permission to use them
The content does not violate copyright, privacy, or publicity rights
The content does not include illegal, harmful, or restricted materials
No minors are depicted in any sexualized context
Images do not infringe upon someone else’s intellectual property

You remain fully responsible for the images you upload.

5.2 No Storage of Original Images

Spayo does not permanently store original uploaded images.
They are only transmitted temporarily to the AI model for processing and are not kept afterward, except for:

Security logs maintained by Google (short retention for abuse monitoring)
Temporary caching for request handling (short-lived)

Users may choose to save AI-generated results to their gallery.

6. AI-Generated Content (Your Output Rights)

6.1 User Ownership

You receive full rights to the AI-generated images you produce with Spayo, including the right to:

Download
Modify
Share
Use commercially
Use in creative or professional projects

No copyright transfer from Spayo is required.

6.2 Restrictions

Generated content must not be used to:

Mislead, impersonate, or defraud individuals
Violate third-party intellectual property
Train other AI models without compliance with their terms
Create harmful, illegal, or unsafe outputs

7. Prohibited Uses

You may not use Spayo to upload or generate:

Illegal content
Sexually explicit content involving minors
Violence, hate, extremism, terrorism
Deepfakes of real identifiable individuals without their consent
Biometric, facial recognition, or surveillance-related datasets
Copyrighted content unless you own the rights
Content intended for harassment, defamation, or discrimination
Malware, fraud, or harmful activities

Spayo enforces automated and manual moderation.

8. Payments, Tokens, and Subscriptions

Spayo sells tokens through Stripe, currently offering:

Starter Pack: 50 tokens
Explorer Pack: 100 tokens
Pro Pack: 200 tokens
Agency Pack: 400 tokens

Each generated image costs 1 token.

8.1 No Refunds (Unless Required by Law)

All purchases are final and non-refundable, except where required under local laws (e.g., EU withdrawal rights for digital goods before the service is used).

Once a token is used for generating an image, it cannot be refunded.

8.2 Payment Processor

Payments are handled by Stripe, which stores card details if the user chooses that option.
Spayo never receives or stores credit card numbers.

9. Third-Party Services

Spayo integrates with:

Google Gemini API (AI image processing)
Supabase (data and image storage)
Stripe (payments)
Google Analytics (analytics)

Users agree to the privacy and usage terms of those services.

AI Processing Notice

Spayo sends user images to Google Gemini API.
Google does NOT use user images for training or improving models.
Temporary retention is limited (typically 48h) for processing and abuse monitoring.

10. International Data Transfers

By using Spayo, you acknowledge that data may be processed in:

Switzerland
EU
United States (for Google, Supabase, Stripe)
Other jurisdictions where service providers operate

Transfers rely on mechanisms such as:

Standard Contractual Clauses (SCCs)
Swiss FDPIC equivalents
Data Processing Agreements
Adequacy decisions where applicable

11. Intellectual Property Rights

Spayo retains all rights to:

The platform
The underlying technology
Branding, logo, trademarks
The interface and design

Users have no ownership over the platform itself.

12. Limitation of Liability

To the maximum extent permitted by law, Spayo is not liable for:

Loss of profits
Indirect, incidental, or consequential damages
Data loss
Incorrect or unexpected AI output
Third-party service outages
Unauthorized access resulting from user negligence
Actions taken by Stripe, Google, or Supabase

Total liability is limited to the amount paid by the user in the last 12 months.

Some jurisdictions do not allow such limitations; in those cases, only minimum legally required liability applies.

13. Indemnification

You agree to indemnify and hold harmless Spayo from claims arising out of:

Your content
Your misuse of the Service
Your violation of laws or third-party rights
Your breach of this Agreement

14. Termination

Spayo may suspend or terminate your access if:

You violate these Terms
You misuse the platform
Fraud, abuse, or harmful behavior is detected
Legal reasons require it

You may delete your account at any time.

Upon termination:

Your license ends
Access to generated content may be restricted
Data may be deleted according to our retention policy

15. Governing Law

This Agreement is governed by:

Swiss Law (primary jurisdiction)
With respect to consumers in the EU: the mandatory consumer protection laws of their EU member state
With respect to U.S. consumers: applicable state-level consumer protection laws

Exclusive jurisdiction for disputes: Thurgau, Switzerland, unless mandatory law provides otherwise.

16. Changes to This Agreement

We may update this EULA to reflect:

Changes to the law
New features
Security updates
Platform improvements

We will notify users of major updates. Continued use indicates acceptance.
